How Business Type Affects Who Can Be Served at a Company

Did you know that not all companies can be served legal papers in the same way? You have to make sure that your civil case documents are served to the appropriate company representative and at the appropriate time and place. Business type has a lot to do with this decision.

Sole proprietorship

These are businesses that are owned by one individual. In fact, many freelancing or gig economy individuals fall under this category as well, even if they have no formal business organization or licensing. These individuals can be served in the same way as any civilian.

Partnership

A partnership is along the same lines as a sole proprietorship, but there are at least two partial owners. Most of the time a partnership can be served to any one of the owners in the same way as serving an individual.

LLCs

LLCs are another form of small business. Often single individuals or partners will prefer an LLC organization to protect them personally from repercussions in a civil lawsuit. If the company has this organization, you can still serve the primary owner.

Other corporations

If a company is incorporated, either fully or with an LLC, you have to serve the individual who they specify in their charter documents filed with the state. These corporations will have a specific company representative or agent, who may or may not be an employee of the company itself, who is responsible for accepting these types of legal papers. If there is no registered agent, you can serve the highest member of management at the primary business location.
